--Customer grants to Gaiam, Inc., its affiliates, subsidiaries, licensees, successors and assigns (collectively “Gaiam”), the irrevocable right, in perpetuity throughout the world, and in any and all media, to use the customer’s name, image, voice, signature, endorsement, testimonials, both written and oral, public quotes and statements, likeness, and biographical material (the “Endorsement and Publicity Materials”) in connection with the advertising, packaging, labeling, publicity, promotion, marketing merchandising, and other exploitation of the products and services of Gaiam in such style, place and manner as Gaiam may deem necessary or convenient or appropriate.
--Customer represents and warrants that their endorsements, testimonials, both written and oral, public quotes and statements, and biographical material associated with the Endorsement and Publicity Materials are true and accurate and reflects Customer’s honest belief and actual personal experience.
--Customer agrees that Gaiam shall be the sole owner and have all right, title and interest in the Endorsement and Publicity Materials.
--Customer agrees to release Gaiam from any and all liability for claims by Customer or any third party in connection with Gaiam’s use of the Endorsement and Publicity Materials.
--This agreement shall be interpreted, construed and governed in all respects by the laws of the State of Colorado.
--Customer represents and warrants that he or she has read this agreement and understand its terms. This agreement shall be binding on the heirs, executors, administrators, successors or assigns of Customer.
--Customer represents and warrants that he or she is at least eighteen years of age, or if acting on the behalf of a minor, has the legal authority to contract on behalf of the minor.
I warrant that I am at least 18 years of age or am the parent or guardian of the named above and I agree that the grant and release contained herein binds me and (if applicable) the minor to all of the terms described above. |
